Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") are a legally binding agreement between you and Seer Application, registered in Sudan at [REGISTERED_ADDRESS] ("Seer," "we," "us"). By creating an account or using the Seer app, you confirm you have read and agree to these Terms. If you do not agree, you must not use the Platform.

2. Eligibility and Minimum Age

2.1 You must be at least 18 years of age to use the Platform. By registering, you confirm you meet this requirement.

2.2 The Platform is not available to anyone under 18. If we discover an account held by a person under 18, we will suspend it and delete the associated data.

2.3 You represent that you have legal capacity to enter a binding contract under Sudanese law.

3. Description of Service

3.1 Seer is a carpooling subscription platform connecting riders with independent drivers on fixed daily routes and schedules within Sudan.

3.2 Seer acts solely as an intermediary technology platform. We do not provide transportation, employ drivers, or operate vehicles. The transportation service is delivered by independent drivers. Seer is not a transportation carrier.

3.3 Routes, schedules, and stops are set at the time of booking and may change subject to operational updates communicated via the Platform.

4. Account Registration

4.1 You must provide accurate, complete, and current information at registration, including your full name, phone number, and gender.

4.2 Your phone number is your primary identifier and is used for authentication. Your phone number is shared with the driver of each trip you are booked on, so that the driver can reach you at pickup.

4.3 You are responsible for all activity under your account. Notify us at seer.com.sd@gmail.com immediately if you suspect unauthorized access.

4.4 We may refuse registration or terminate accounts in accordance with Section 13.

5. Subscriptions and Payment

5.1 Seer offers monthly route subscriptions at fixed prices in Sudanese Pounds (SDG) covering a specific route, schedule, and stops for one calendar month.

5.2 Payment is via manual bank transfer. After transferring, you must upload a clear image of your receipt through the app. Your subscription becomes active only upon administrator confirmation.

5.3 Seer does not collect, store, or process credit or debit card information.

5.4 Monthly subscription fees are not refundable for partial-month use, except as set out in Section 6 and except where the service was not delivered.

5.5 We will give at least 14 days' notice via in-app notification before a price change affects a renewal. A price change never applies to a month you have already paid for.

6. Cancellation and Refund Policy

6.1 You may request cancellation of a booking from the booking page in the app, or by writing to us at seer.com.sd@gmail.com. Each request is reviewed individually by an administrator, unless the app confirms the request immediately.

6.2 Where a refund is approved, it is issued as credit to your in-app wallet in SDG by default. If you ask for the refund to be returned to the bank account you paid from instead, we will do so where that account can be verified.

6.3 You are entitled to a refund where the service was not delivered for reasons within our control, where the route or schedule changed materially and you did not accept the change, or where you were charged in error. We may grant refunds in other circumstances at our discretion.

6.4 We will decide a refund request within 15 business days and give reasons in writing if we refuse. To escalate a refusal, reply to our written decision and ask for a second review. An escalation is decided by someone other than the person who made the original decision.

6.5 Nothing in this Section limits any right to a refund you have under mandatory Sudanese consumer law.

6.6 If you request cancellation while your payment receipt is still under review, the refund is decided once the receipt has been verified: if the payment is verified and your request was made within the refund window shown in the app, the full amount you paid is refunded; if the receipt is not accepted, no payment was received from you and nothing is refunded.

6.7 The refund window and amount that apply to your booking are those shown in the app when you make your request. A later change to the refund policy never reduces a refund you have already requested.

7. In-App Wallet

7.1 Wallet credits are denominated in SDG and represent amounts already paid by you or credited to you by us. They may be applied toward Seer subscription fees.

7.2 Wallet credits are non-transferable and cannot be spent outside the Platform. Credits arising from a refund of money you paid may be returned to your bank account on request under Section 6.2; promotional credits granted by us at no cost to you may not.

7.3 Wallet credits expire no sooner than 12 months after they are issued. We will notify you in the app at least 30 days before any credit expires. Promotional credits may carry a shorter period, which will be stated when they are issued.

7.4 We will give at least 30 days' notice before changing the wallet credit policy. A change never shortens the life of credits already issued.

8. Rider Obligations

8.1 You must be present at your designated pickup stop at the scheduled departure time. Seer is not responsible for missed trips due to your absence.

8.2 The app provides an absence pre-announcement feature. Using it does not guarantee a refund but is required if you wish to report a planned absence. Absences announced less than 1 hour before departure are not eligible for absence credit consideration.

8.3 You must treat drivers and fellow riders with respect. Abusive, threatening, discriminatory, or harmful conduct is grounds for immediate account suspension.

8.4 You may not use the Platform for purposes that are illegal under Sudanese law.

9. Driver Obligations and Status

9.1 Drivers are independent contractors, not employees, agents, or partners of Seer. Drivers use their own vehicles, bear their own operating costs, and are responsible for their own tax and regulatory obligations.

9.2 Drivers must hold a valid Sudanese driving licence, valid vehicle insurance, and all required vehicle permits, and must keep them valid throughout their time on the Platform. Drivers are solely responsible for vehicle maintenance, roadworthiness, and compliance with Sudanese traffic law.

9.3 Before a driver is admitted to the Platform, we require and review the verification documents listed in the Privacy Policy, including licence, vehicle registration, insurance, identity, and criminal record documents. Admission is at our discretion and review is a documentary check only — it is not a guarantee of any driver's conduct or competence.

9.4 Drivers must maintain the assigned route and schedule or notify Seer promptly of any deviation.

9.5 Seer may remove a driver from the Platform for failure to meet service standards, rider complaints, expiry of a required document, or violation of applicable law.

10. Insurance

10.1 Seer does not provide insurance of any kind. Seer is not an insurer and holds no policy covering riders, drivers, vehicles, or journeys.

10.2 Every driver is required to hold valid vehicle insurance covering the vehicle used on the Platform, and to provide evidence of it before admission and on renewal. We check that a document has been provided and appears valid on its face. We do not verify the scope of cover, whether it extends to fare-paying passengers, or whether it remains in force at the time of any particular trip.

10.3 In the event of an accident, any claim lies against the driver and the driver's insurer. You should satisfy yourself as to the cover available to you, including through your own personal insurance.

10.4 This Section does not limit any liability Seer has under Section 12.

11. Safety and Incident Reporting

11.1 If you feel unsafe during a trip, contact the emergency services first. Your safety comes before any process in these Terms.

11.2 Report any accident, injury, harassment, threatening or discriminatory behaviour, or unsafe driving to us at seer.com.sd@gmail.com as soon as you are able. Reports may be made about a driver or about another rider.

11.3 We will acknowledge a safety report within 2 business days. Where a report alleges a risk to physical safety, we may suspend the account complained of while we review, and we will tell the person who reported what action we have taken.

11.4 We may remove any user from the Platform on safety grounds. We may report conduct to the police or other authorities where we believe an offence has been committed, and we will cooperate with any resulting investigation.

11.5 Retaliation against a person who makes a good-faith safety report is itself grounds for removal.

12. Limitation of Liability

12.1 Seer arranges connections between riders and independent drivers. We do not provide, supervise, or guarantee the transportation service itself.

12.2 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for any other liability that cannot lawfully be excluded or limited.

12.3 Subject to Section 12.2, and to the maximum extent permitted by law, Seer is not liable for: the acts or omissions of a driver or of another rider; delays or cancellations caused by drivers; force majeure events as described in Section 16.4; or loss of data not caused by our negligence.

12.4 Subject to Section 12.2, our total aggregate liability for any claim shall not exceed the greater of the subscription fees you paid in the three months before the claim arose, or the amount of any wallet credit held by you at that time.

13. Account Suspension and Termination

13.1 We may suspend or terminate your account for breach of these Terms, fraudulent or unlawful conduct, repeated no-shows, false information, or a safety concern under Section 11. Except where the matter is urgent or involves safety or fraud, we will tell you the reason and give you an opportunity to respond.

13.2 We may also terminate your account for convenience on 30 days' notice.

13.3 You may close your account at any time by contacting seer.com.sd@gmail.com or by using the account deletion option in the app where available. We will process your request within 30 days.

13.4 If you close your account, or if we terminate it for convenience or without your being at fault, we will refund any unused wallet credit that arose from money you paid, on request. Promotional credit granted at no cost to you is forfeited on closure.

13.5 Upon termination, your right to access the Platform ceases. Sections 12, 14, and 16 survive termination.

14. Dispute Resolution

14.1 Before initiating legal proceedings, contact seer.com.sd@gmail.com to attempt good-faith resolution. We aim to respond within 15 business days.

14.2 These Terms are governed by the laws of the Republic of Sudan. Disputes not resolved by negotiation shall be submitted to the competent courts of Sudan.

14.3 International users may also have rights under mandatory laws of their jurisdiction that these Terms cannot override.

15. Updates to These Terms

15.1 We may update these Terms. We will notify you of material changes via in-app notification at least 14 days before the new version takes effect.

15.2 Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not accept an update, you may close your account under Section 13.3 and Section 13.4 applies.

15.3 Each version is identified by a version number and effective date at the top of this document.

16. General

16.1 Governing language. These Terms are published in Arabic and English. In the event of any conflict or difference in meaning between the two versions, the Arabic version prevails.

16.2 Severability. If any provision of these Terms is held invalid or unenforceable, that provision is severed and the remainder continues in full force.

16.3 Assignment. You may not transfer your account or your rights under these Terms. We may assign these Terms to a successor to our business on notice to you.

16.4 Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, including civil unrest, armed conflict, natural disaster, epidemic, fuel or power shortage, telecommunications failure, or government action. Where such an event prevents delivery of a subscription you have paid for, Section 6.3 applies.

16.5 Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Seer regarding the Platform.

16.6 Licence to use the app. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Seer app for its intended purpose. You may not copy, modify, reverse engineer, or redistribute it.

16.7 No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
